Terms of Use Agreement
	By logging on to the Optial System you are agreeing to the Terms of Use contained within it, and the accompanying copyright agreement, acceptable use policy and the Legal Registers agreement signed with Convergence Consulting LLC. THIS AGREEMENT is made BETWEEN: (1) OPTIAL CORPORATION, a Delaware corporation with offices at Optial Corporation 12600 Deerfield Parkway Suite 100 Alpharetta, GA 30004 (“Optial”); and (2) convergence consulting LLC, a California limited liability company with offices at 1762 W. 26th Street, San Pedro, California 90732 (3) “User” – User accessing system
	1.1 In this Agreement, words importing the singular include the plural and vice versa and words importing gender include any other gender. 1.2 References in this Agreement to any statute or statutory provisions shall include any statute or statutory provisions which amends, extends, consolidates or replaces the same and shall include any orders, regulations, instruments or other subordinate legislation made under the relevant statute.
	1.3 User acknowledges that it is authorised to use the Hosted System for the Purpose in accordance with the Acceptable Use Policy and in accordance with the provisions of this Agreement for the Authorised Period only. User shall not resell (or otherwise grant rights to) the Access to the Hosted System and/or the Services to any third party. 1.4 User shall not attempt to decompile, modify, copy, adapt, transcribe or merge the Hosted System, the Content or any portion thereof, except as expressly authorized in writing by Optial, save as permitted by applicable law.
	1.5 User shall only use the Hosted System for processing data, which has been collected in accordance with applicable data protection and privacy laws or regulations. User agrees to provide notice to Optial of any privacy or data protection statutes, rules, or regulations which are or become applicable to User’s business and which could be imposed on Optial as a result of provision of Services under this Agreement. 1.6 Unless requested to do so by User, Optial will not collect or retain for its own purposes any personally identifiable information regarding the User. Optial may monitor use of the Hosted System for the purpose of security, the service levels and as indicated in Section 5. No confidential or personally identifiable information about User shall be sold, assigned, leased, or otherwise disposed of to third parties by Optial. Upon User’s request, any Data and/or Content provided by User shall be promptly returned to User by Optial or, if User so elects, shall be rendered inaccessible; provided that such return or rendering would not be a violation of any applicable law or governmental regulation. 1.7 Optial may provide links to other web sites or resources over which it has no control. User acknowledges and agrees that neither Optial or Convergence shall not be responsible for the availability, content, advertising, products, goods or other materials on or available from such sites or resources or liable for any damage or loss caused by use by the User of such links. 1.8 User agrees to terms of Convergence License.
